Türk iş hukukunda rekabet yasağı

Abstract

Bu çalışmanın konusu İş Hukuku kapsamında işçinin uymakla yükümlü olduğu sadakat borcundan kaynaklanan ya da ve işçi ile işveren arasında akdedilen sözleşmelerden kaynaklanan rekabet yasağıdır. İş hukuku çerçevesinde işçi ve işveren arasındaki ilişkide rekabet yasağını konu alan uyuşmazlıklar ile sıkça karşılaşılması konunun aydınlatılması ihtiyacını doğurmuştur. Bir işin yerine getirilmesi sırasında işçilerin işverenin faaliyet alanına, iş sırlarına ve müşteri bilgisine erişmesi mümkün olmaktadır. İşçilerin bu bilgileri kullanmak suretiyle işvereni zarara uğratma ihtimaline karşı hukukumuzda rekabet yasağı kurumunu düzenlemiştir. Rekabet etmenin aynı zamanda Anayasa ile korunan temel bir hak olması sebebiyle, rekabet yasağının sınırlarının belirlenmesi amacıyla yasağın geçerliliğine ilişkin birtakım şartlar öngörülmüştür. Tezimiz üç bölümden oluşmaktadır. Birinci bölümde rekabet ve rekabet yasağı kavramları ile rekabet yasağının mevzuatımızdaki yeri, iş sözleşmesi devam ederken uygulanan rekabet yasağının konusu incelenmiştir. İkinci bölümde rekabet yasağı sözleşmesi, sözleşmenin unsurları ve hükümleri incelenmiştir. Üçüncü ve son bölümde ise rekabet yasağı sözleşmesinin sona erme halleri, sözleşmenin ihlali, sonuçları, görevli yetkili mahkemenin belirlenmesi konuları ayrıntılı olarak ele alınmıştır. Tezimizin konusu Yargıtay kararları çerçevesinde incelenmiştir.

The subject of this dissertation is the prohibition of competition arising from duty of loyalty or non-competition agreement concluded between the employee and the employer. The number of disputes regarding non-competition in the relationship between employees and employers has given a rise to the need to clarify the issue. During the performance of a job, it is possible for employee to access the employer's field of activity, trade secrets and client information. Against the risk of employees harming the employer by using these information, Turkish laws regulate the prohibition of competition. Since competition is also a fundamental right protected by the Constitution, in order to determine the limits of the non-competition agreement, a number of conditions regarding the validity of the prohibition are stipulated. Our dissertation consist of three sections. In the first section the concepts of competition and prohibition of competition and the place of non-competition in Turkish legislation, the subject of prohibition of competition while the employment contract is in force are examined. In the second section non-competition agreement, elements and the provisions of the agreement are examined. In the third and final section circumstances leading to termination of the non-competition agreements, breach of agreement and results, the distinctions of competent court are discussed in detail. The subject of our dissertatiton are examined within the scope of Supreme Court desicions.
