Özet
Bu tez, sürdürülebilirlik kavramının Türkiye’deki hukuki düzenlemeler üzerindeki etkisini, çevresel, sosyal ve ekonomik boyutlarıyla ele almaktadır. Çalışmada, sürdürülebilirliğin uluslararası ve ulusal hukuk çerçevesinde nasıl şekillendiği ve bu çerçevenin Türkiye’nin mevcut yasal altyapısına nasıl entegre edildiği analiz edilmektedir. Özellikle Türk Ticaret Kanunu (TTK) ve Sermaye Piyasası Kanunu (SPK) gibi düzenlemeler üzerinden kurumsal yönetim ilkeleri ve ESG (çevresel, sosyal ve yönetişim) kriterlerinin hukuki dayanakları incelenmiştir. Bunun yanı sıra Türkiye'nin uluslararası çevresel taahhütleri ve sürdürülebilirlik konusundaki yasal uyumu, kalkınma planları ve kurumsal politikalar bağlamında değerlendirilmiştir. Sürdürülebilirlik kavramı, uluslararası hukukta ilk olarak 1987 tarihli Brundtland Raporu ile tanımlanmıştır. Rapor, çevre, ekonomi ve toplum dengelerini koruyan bir kalkınma modelini önerirken, Kyoto Protokolü ve Paris Anlaşması gibi uluslararası sözleşmeler, iklim değişikliğiyle mücadelede önemli bir hukuki zemin oluşturmuştur. Paris Anlaşması, küresel sıcaklık artışını 2°C’nin altında tutmayı hedefleyen bir çerçeve sunarken, Avrupa Birliği’nin Kurumsal Sürdürülebilirlik Raporlama Direktifi (CSRD) ve Kurumsal Sürdürülebilirlik Özen Yükümlülüğü Direktifi (CSDDD), şirketlerin çevresel ve sosyal etkilerini raporlamasını zorunlu kılarak, hukuki bağlayıcılığı artırmıştır. Türkiye’de ise 1982 Anayasası’nın 56. maddesi, sağlıklı bir çevrede yaşama hakkını anayasal güvence altına alarak çevre koruma politikalarının temelini oluşturmuştur. Ancak sürdürülebilirlik ilkesi bu düzenlemelerde dolaylı olarak yer almakta, uygulamada daha kapsamlı düzenlemelere ihtiyaç duyulmaktadır. This thesis explores the integration of sustainability principles into Türkiye’s legal framework, focusing primarily on the TCC and the CML. It examines how ESG criteria are incorporated into corporate governance and reporting practices, reflecting global trends toward sustainable development. By analyzing national regulations in the context of international frameworks such as the Paris Agreement, the CSRD, and the CSDDD, the study evaluates Türkiye’s progress and identifies areas requiring further improvement. Key findings indicate that while Türkiye has made significant strides in promoting sustainability, challenges persist in enforcement and the practical implementation of ESG principles. For instance, while companies are required to disclose sustainability-related information, inconsistent reporting standards and weak oversight hinder the effectiveness of these requirements. Furthermore, sustainability considerations often remain secondary to economic priorities, particularly in industries such as energy and manufacturing. The research also highlights the potential of corporate governance to act as a driver for sustainable practices. It emphasizes the importance of transparency, accountability, and stakeholder engagement in fostering sustainability, showing that businesses adopting ESG-focused strategies can enhance both their market competitiveness and social responsibility. Additionally, the thesis underscores the need for greater collaboration among government agencies, private sector actors, and civil society to create an inclusive and effective sustainability framework. Ultimately, the study concludes that integrating sustainability into Türkiye’s legal, corporate, and policy frameworks are not only essential for aligning with global standards but also crucial for addressing national socio-economic and environmental challenges. By strengthening regulatory mechanisms, harmonizing reporting standards, and incentivizing sustainable practices, Türkiye can advance its sustainability agenda, enhance its international competitiveness, and contribute to the global effort toward a sustainable future.
