CIVIL LIABILITY OF THE PERSONS FORMING THE FOUNDATION MANAGEMENT BODY AGAINST THE FOUNDATION

Abstract

The persons who constitute the management body of a foundation have a legal relationship with the foundation subject to the provisions of a mandate contract. If these persons violate their obligations arising from this relationship during the performance of their duties and cause damage to the foundation, the foundation has a claim for compensation against these persons. In this case, the general principles of contractual liability apply. However, during the determination of the compensation, care should be taken in assessing the fault of the injured party. If the responsible persons have been influential in the occurrence or increase of the damage as the governing body of the foundation, this should not be taken into consideration as a reason for reduction of the compensation. If more than one person constitutes the management of the foundation, these persons shall be jointly and severally liable within the limits of Article 511/II of the TCO or Article 61 of the TCO. A five-year statute of limitations must be applied. If the members of the body authorised to claim this receivable on behalf of the foundation are liable, the statute of limitations should be considered to be suspended. The liable persons cannot release themselves even if they are authorised to conclude a release agreement on behalf of the foundation. On the other hand, members of the governing body who are not liable may give rise to their own liability if they release the liabilities or cause the receivable to become time-barred.

Vakıf yönetim organını oluşturan kişiler vakfa karşı vekâlet sözleşmesi hükümlerine tâbi bir hukuki ilişki içindedir. Bu kişiler görevlerini yerine getirirken bu ilişkiden doğan borçlarını ihlal ederek vakfın zarara uğramasına sebep olmuşsa, vakfın bu kişilere karşı tazminat alacağı doğar. Bu durumda sözleşmesel sorumluluğun genel ilkeleri uygulanır. Ancak tazminatın belirlenmesi aşamasında, zarar görenin kusurunun değerlendirilmesinde dikkatli olunmalıdır. Zararın doğumu veya artışında, sorumlu kişiler vakfın yönetim organı olarak etkili olmuşsa, bunun tazminattan indirim sebebi olarak nazara alınmaması gerekir. Tazminata ilişkin talep hakkı vakfa aittir, yasal olarak dava takip yetkisinin kullanılmasına olanak tanınmadıkça, bu alacak hakkının herhangi bir gerekçeyle başka bir kişi tarafından ileri sürülmesine olanak tanınamaz. Vakıf yönetimini birden fazla kişi oluşturuyorsa, bu kişiler kural olarak TBK m. 511/II hükmü sınırları çerçevesinde müteselsilen sorumlu olur. Vakfın iradi örgütlenmesi kapsamında sorumlu tutulabilecek farklı organlara üye kişilerin müteselsil sorumluluğu ise ancak TBK m. 61 hükmüne dayanabilir. Söz konusu tazminat sorumluluğuna vekâlet sözleşmesi hükümleri uygulandığından beş yıllık zamanaşımı uygulanmak gerekir. Bu alacağı vakıf adına talep etmeye yetkili organın üyeleri sorumlu ise, zamanaşımının durduğunun kabul edilmesi lazım gelmektedir. Benzer şekilde, sorumlular vakıf adına ibra sözleşmesi kurmaya yetkili olsa dahi kendilerini ibra edemez. Öte yandan, sorumlu olmayan yönetim organı üyeleri, sorumluları ibra ederse veya alacağın zamanaşımına uğramasına neden olurlarsa, kendi sorumluluklarını doğurabilir.
