Arsa payı karşılığı inşaat sözleşmeleri

Abstract

Toplumsal hayatın gelişimi ile doğan ihtiyaçlar dolayısıyla sözleşme serbestisi ilkesi uyarınca meydana gelen sözleşmelerden biri de arsa payı karşılığı inşaat sözleşmeleridir. Bu sözleşme kanunda taraf edimleri, hak ve borçları ile düzenlenmemiş atipik bir sözleşme olup işbu çalışmada, Yargıtay ve öğretideki görüşler ışığında öncelikle terim sorunu ve tanımı, tarafları, unsurları, hukukî niteliği, türleri, şekli, diğer sözleşmelerden ayrımları bakımından incelenmiş; akabinde arsa payı karşılığı inşaat sözleşmesine uygulanacak eser sözleşmesi hükümleri başta olmak üzere bu sözleşmeye uygun düşen ve uygulanması gereken hükümler ile sözleşmenin tarafları olan arsa sahibi ve yüklenicinin sözleşmedeki edimleri diğer bir deyişle borçları ve bunların sonuçları incelenmiştir. Çalışmanın son aşamasında ise bu sözleşmenin sona erme şekilleri incelenerek sözleşme bütün yönleri ve uygulanacak hükümleri ile izah edilmeye çalışılmıştır. Bu çalışmanın amacı, uygulamada oldukça fazla akdedilen ve atipik özellikte olan arsa payı karşılığı inşaat sözleşmelerine uygulanacak hükümlerin tespitiyle, işbu sözleşmenin özellikleri ve edimlerini öğretideki görüşler ve Yargıtay kararları ışığında incelemektir.

One of the contracts that are formed in accordance with the principle of freedom of contract due to the needs arising from the development of social life is construction contracts in return for land share. This contract is an atypical contract that is not regulated in the law with the acts, rights and obligations of the parties, and in this study, it has been examined primarily in terms of its definition, parties, elements, legal nature, types, form and distinctions from other contracts in the light of the opinions of the Court of Cassation and doctrine; then, the provisions of the contract of work to be applied to the construction contract in return for land share, the provisions that are appropriate and to be applied to this contract, and the obligations of the land owner and the contractor, who are the parties of the contract, in the contract, in other words, their debts and their results are examined. In the last stage of the study, the termination forms of these contracts were examined and the contract was tried to be explained with all its aspects and provisions to be applied. The aim of this study is to determine the provisions to be applied to the construction contracts in return for land share, which are concluded a lot in practice and have atypical characteristics, and to examine the characteristics and acts of this contract in the light of the views in the doctrine and the Supreme Court decisions.
