dc.description.abstractSigorta sözleşmeleri, karşılıklı borç yükleyen ve tarafların menfaatlerinin zıt olduğu hukukî ilişkilerdir. Bu bakımdan, sigortacının daha yüksek prim karşılığında daha sınırlı teminat sağlama; sigorta ettirenin ise daha düşük primle daha geniş teminat elde etme arzusu üzerine kuruludur. Bu karşılıklı menfaat dengesinin sağlanmasında, akdî yükümlülüklere dair Türk Ticaret Kanunu (TTK) m. 1449 hükmü önemli rol oynamaktadır. Mezkûr hükme göre, sigorta ettirenin akdî yükümlülüklerini ihlâl etmesi hâlinde, sigortacı sözleşmeyi kıs-men veya tamamen feshederek edim yükümlülüğünden kurtulabilecektir. Mamafih mevcut düzenlemede, ihlâlin kast, ağır veya basit ihmal olup olmadığını gözetilmeksizin “ya hep ya hiç” esasına dayalı katı bir yaklaşım benimsenmektedir. Alman hukukundan farklı olarak, kusur derecelendirmesine yer verilmemesi, hafif kusurlu hâllerde dahi sigorta ettirenin tazminat hakkını tamamen kaybetmesine yol açabilmektedir. Hakeza “akdî yükümlülük” kavramı, Türk hukukunda açıkça tanımlanmamış olup, riziko istisnasından ayırt edilmesinde dik-katli bir yorum faaliyeti gerektirmektedir. Bu makale ile TTK m. 1449 hükmünün tatbiki bakımından tartışmalı noktalar ve yorum faaliyetinde esas alınacak kıstaslar ele alınmaktadır.
dc.description.abstractInsurance contracts are bilateral agreements characterized by opposing interests: the insurer seeks to provide limited coverage in exchange for higher premiums, while the po-licyholder desires broader protection for lower payments. To balance these interests, Turkish Commercial Code (TCC) Article 1449 regulates the consequences of breaching contractual obligations stipulated within the insurance agreement. Under this provision, if the policyholder fails to comply with contractual obligations, the insurer is entitled to terminate the contract and be released from its performance obligations. However, the current regula-tion adopts a strict "all or nothing" approach, disregarding the degree of fault involved in the breach. Unlike German law, which distinguishes between intentional, grossly negligent, and slightly negligent breaches, Turkish law allows for the complete forfeiture of the policy-holder’s indemnity rights even in cases of minor negligence. This inflexible structure may lead to disproportionate outcomes and undermine the protective function of insurance law. Furthermore, the concept of “contractual obligation” lacks a clear definition in Turkish law. Provisions must be assessed carefully to distinguish between risk exclusions and true contractual obligations. Contractual obligations must be clearly, precisely, and transpa-rently communicated to policyholders to be enforceable. The insurer’s duty to disclose these obligations and their legal consequences is essential to protect policyholders from unexpected loss of coverage. This article addresses the controversial aspects concerning the application of Article 1449 of the Turkish Commercial Code and examines the criteria that should be taken into account in the process of interpretation.
